1About these terms
siaive is provided by Clyromedia Private Limited, Advant Navis Business Park, sector 142 noida, Uttar Pradesh (GSTIN 09AAMCC2269E1ZJ) (“siaive”, “we”, “us”, “our”). These Terms of Service (“Terms”) are an agreement between you and us. They cover the siaive app for Mac (“the App”), siaive’s AI features, this website and your siaive account (together, “the Service”).
By creating an account, installing the App or paying for a plan, you agree to these Terms, our Privacy Policy and our Cancellation and refund policy. If you don’t agree, please don’t use the Service.
2Your account
- You must be at least 18 years old and able to enter a binding contract under Indian law.
- An account is for one person. Don’t share it or let others use it, and don’t create accounts to get more free credits.
- Give us a real email address and keep it up to date: we send account and billing notices there.
- Keep your password secret. You are responsible for what happens under your account; tell us at once if you think someone else has used it. You can sign out every Mac and browser from your account page.
- If you use siaive for a business, you confirm you may accept these Terms for it.
3The Service and the App
siaive is a video editor for the Mac with an AI director that plans and edits videos with you. Editing, rendering and exporting happen on your Mac. The AI features run through siaive’s servers and the AI providers we use.
We grant you a personal, non-exclusive, non-transferable, revocable licence to install the App on Macs you own or control and to use it under these Terms while your account is in good standing. The App checks for and installs updates; some features need a current version, an internet connection and a signed-in account.
We keep improving siaive, so features may change. If we remove a feature that is a material part of a paid plan, we tell you in advance.
4Plans, prices and GST
- siaive has a Free plan and paid plans, Creator and Pro, billed monthly or yearly. What each plan includes (its monthly AI credits, export quality, watermark and features) is shown on our pricing section and in the App when you choose it.
- Prices are in Indian rupees and are shown without GST. GST at 18% is added at checkout. The checkout page shows the price, the GST and the total before you pay, and your invoice shows the tax under our GSTIN 09AAMCC2269E1ZJ. If you give a GSTIN at checkout, your invoice is made out to your business.
- Invoices for your payments are on your account page, ready to print or save as PDF.
5AI credits
- siaive’s AI is paid for in credits. Each request uses credits according to the work it takes; your account page and the App show your balance and what you have used.
- Plan credits come with your plan and refill every month. Unused plan credits expire at the refill and do not carry over.
- Top-up credits are sold in packs to accounts on a paid plan. They never expire and are used after your plan credits.
- When your credits run out, the AI features stop until your plan credits refill or you buy a pack. The rest of the editor keeps working.
- Credits have no cash value. They cannot be exchanged for money, transferred to another account or sold, and they end when your account is deleted.
6Billing, renewal and cancellation
- Payments. Payments are processed by Cashfree Payments, our payment gateway, by UPI, card or netbanking. We never see or store your card number, UPI PIN or bank credentials.
- Automatic renewal. A paid plan renews automatically at the end of each month or year until you cancel. When you subscribe, you set up a recurring payment mandate (UPI Autopay or a card mandate) and authorise us to charge the plan’s price plus GST at each renewal. Your bank or UPI app notifies you before each renewal charge, as RBI rules require.
- Your price. Your mandate is for the price you agreed to, and we never charge more on it. If we change a plan’s price, we tell you in advance and ask you to set up a new mandate at the new price; if you don’t, your plan ends at the end of the period you have paid for.
- Failed renewals. If a renewal charge fails, it may be retried. If the renewal is still unpaid 3 days after your period ends, your account moves to the Free plan; your top-up credits stay.
- Upgrades take effect at once. You pay the new plan’s price less a credit for the unused days of your current period (₹1 at least), plus GST, and a new billing period starts that day with the new plan’s credits.
- Downgrades, a switch from yearly to monthly, and keeping a plan you had cancelled take effect when the period you have paid for ends. To set up the new mandate, ₹1 is authorised and refunded automatically.
- Cancelling. Cancel any time from the Billing section of your account page, or by cancelling the mandate in your UPI app or with your bank. Cancelling stops future charges. Your plan stays until the end of the period you have paid for, then your account moves to Free.
7No refunds
Payments for plans, renewals, upgrades and credit packs are final and non-refundable, including for unused credits and for the unused part of a period, except as our Cancellation and refund policy says (for example a duplicate charge). Nothing in these Terms takes away rights you have under Indian consumer law.
8Acceptable use
You agree not to:
- use the Service for anything illegal, or to make, edit or share content that is unlawful, sexually exploits children, harasses or threatens people, impersonates someone, deceives (for example deepfakes of real people without their consent), or promotes violence or hatred;
- infringe anyone’s copyright, trademark, privacy or other rights, including with footage, music or images you don’t have the right to use;
- misuse siaive’s AI: try to get around its credit metering, use it for work unrelated to making videos in siaive, send automated or excessive requests, or try to extract the AI providers’ models or siaive’s prompts;
- resell, rent or share access to the Service, your account or your credits;
- copy, modify, decompile, reverse engineer or tamper with the App or its licence checks, except where the law allows it despite this term;
- attack, overload or probe the Service, or access it other than through the App and this website.
The AI providers we use have their own usage policies; requests that break them may be refused.
9Your content
The videos, footage, audio, images, scripts and projects you create or bring into siaive (“Your Content”) stay yours. siaive edits them on your Mac, and your media files are not uploaded to our servers to be edited.
When you use siaive’s AI, what it needs to answer, such as your instructions and parts of your project like transcripts, timeline details and still frames, is sent through our servers to an AI provider so it can produce the answer. You allow us and our providers to process Your Content only to provide the Service to you. Our Privacy Policy says which providers and what we keep.
You are responsible for Your Content and for having the rights to use what you bring into siaive. Media from siaive’s asset library or from other sources comes with its own licence; follow it.
10AI output
AI makes mistakes. What siaive’s AI produces, such as edits, captions, titles, transcripts and suggestions (“Output”), may be inaccurate, incomplete or similar to what others receive. Review Output before you publish or rely on it; you are responsible for what you publish.
We claim no ownership of Output made for you; to the extent we have any rights in it, we assign them to you.
11siaive’s property
The App, the Service, siaive’s name and logo, its templates, effects and other materials belong to us or our licensors and are protected by law. These Terms give you no rights in them beyond the licence above. Templates and effects that come with siaive may be used in videos you make with siaive.
If you send us feedback or ideas, we may use them without owing you anything.
12Suspension, termination and deleting your account
- You can stop using siaive at any time and delete your account from your account page. Deleting cancels any autopay, signs out every Mac and browser, and ends your plan and credits. We keep payment records and invoices as the law requires (see the Privacy Policy).
- We may suspend or close an account that breaks these Terms, is used for fraud or abuse, or when the law requires it. Unless the law or safety prevents it, we tell you why, and you can respond through our grievance officer.
- If we close your account because you broke these Terms, payments already made are not refunded. If we stop offering the Service altogether, we refund the unused part of any period you have paid for.
- The sections on Your Content, AI output, siaive’s property, liability, indemnity and governing law survive the end of these Terms.
13Disclaimers
We work to keep siaive reliable, but the Service is provided “as is” and “as available”. To the extent the law allows, we make no promises that it will be uninterrupted, error-free or fit for a particular purpose. siaive’s AI depends on third-party providers whose availability we do not control. Keep your own copies of your projects and media.
14Limitation of liability
To the extent the law allows:
- we are not liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, data or goodwill;
- our total liability for all claims about the Service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law.
15Indemnity
You agree to compensate us for losses, and costs including reasonable legal fees, arising from claims by others about Your Content or about your breach of these Terms or of the law.
16Events beyond our control
We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, outages of networks, payment systems, hosting or AI providers, government action or war.
17Changes to these terms
We may update these Terms. For a material change, we tell you by email or on this website at least 15 days before it takes effect. If you keep using siaive after that, the new Terms apply; if you don’t agree, you can cancel your plan and delete your account. The date at the top shows the latest version.
18Governing law and disputes
These Terms are governed by the laws of India. Please write to us first so we can try to resolve a problem. Subject to your rights to approach a consumer commission under the Consumer Protection Act, 2019, the courts in Uttar Pradesh have exclusive jurisdiction over disputes about these Terms or the Service.
19Grievances and contact
If you have a complaint about siaive, your account, a payment or your personal data, write to our Grievance Officer, Amit Kumar at amit@creatorsmela.com. We acknowledge a complaint within 48 hours and resolve it within one month of receiving it, and we tell you what we did.
